After creating your filing, you can submit a test filing to see if there are any SEC errors or warnings. This allows you to resolve any issues before it’s time to submit your live filing. You will need the Filing role to test or live file.
You can submit EDGAR filings between 6:00 AM and 10:00 PM Eastern Time, Monday through Friday (except federal holidays). However, a filing submitted after 5:30 PM Eastern Time will be filed with the SEC on the following business day. For more information, see the SEC Filing Deadline and Holiday Calendar.
NOTE: T+3 filings (pursuant to Rule 426(b)) and Section 16 filings will get the date of the actual filing even if filed after 5:30 PM Eastern Time.
Submit a test filing
- Click Test File on the progress bar if you are not already on the Test File step.
- Under EDGAR Next API Token, select whether to file using your own API tokens, Workvia's API Tokens, or a mixture of the two to submit the test filing:
- Use my own User API and Filer API tokens
- Use my User API tokens and Workiva's Filer API token
-
User Workiva's User API and Filer API tokens (File with Workiva)
The User API Token can only be generated on the EDGAR Filer Dashboard, and expires every 30 days. Once a new User API Token has been generated, it can be uploaded on the Test File Step and can be saved in a user's profile to be used for future filings. The Filer API Token can only be generated on the EDGAR Filer Dashboard and expires 1 year after it has been generated. Once a new Filer API Token has been generated, it can be uploaded to the Filer API Token option on the Test Filing or uploaded into Workspace Settings. This can be saved under the Workspace Settings to be used for future filings.
Using Workiva's User API Token and Filer API Token (File with Workiva) can only be used if delegated with Workiva. Once delegated, if this option is chosen, no User Tokens or Filer API Tokens are needed.
- If and only if you meet ALL the following criteria, you will also need to provide a Login CIK to file.
- You are not a user or account admin of this Filing's EDGAR account.
- You are a user or account admin for a delegated EDGAR account.
- You have selected the "Use my User API token and Workiva's Filer API token" option in the EDGAR Next API Token section.
- Click Test File to submit the filing.
You can submit multiple test filings to see filing results before submitting the live filing. The last five test filings are listed on the Test Filing step. To see earlier test filings, click an existing test filing to see a full list in the Test Filings Details dialog box.
Depending on the size of your filing, it could take a few minutes complete the test filing. All recipients in the notification list will receive an email from the SEC with details about the test filing status.
NOTE: During busy filing periods, it may take longer to receive status information from the SEC.
Preview a test filing
After submitting the test filing, you can view the EDGAR version of the document as it will appear on the SEC site if live filed. Open the menu to the right of the filing's name to preview the HTML version of the filing before live filing. You'll also receive an SEC Notification Message with the status of the test filing and a list of errors. The test filing preview shows a list of documents submitted, the document type, and the descriptions of each that you entered in the Label step.
When reviewing the accepted test filing details, look for the following:
- Make sure the document and their descriptions match
- Make sure the description and type match
- Look for duplicate exhibits
- Make sure document file names are correct
