Annual Report to Stockholders
已回答We are getting ready to file our 2017 Annual Report to Stockholders. Does anyone know if we are supposed to include the exhibits in this filing. It seem that there is quite a bit of diversity in practice.

Hi Boyd,
As you've noted, the answer is sort of a yes and no. Since the Form 10-K is a more comprehensive annual report, Form ARS has become a somewhat deprecated filing type. In fact, only 31 were filed in all of 2017, and most commonly they are a carbon copy of the 10-K filing itself. And since that is the case, many of them do contain the same exhibits you find in your 10-K. However, a Form ARS itself may not need to contain any exhibits, if it were created from scratch, so to speak.
Does that help explain what you are seeing? We certainly encourage you to check with your own legal team as well. Do let me know if you have any further questions or need anything else.
Thanks and happy filing!0请先登录再写评论。
