iXBRL cover page tagging requirements

I usually don't move to the current year taxonomy until Q3, therefore, I'll still be using the 2018 taxonomy for Q2 when I'm required to tag the new items on the cover page. Will I still be able to find/select the new tags when I use the Wdesk XBRL Concept Search?

Thanks for your question. To answer, there will actually be an updated version of the 2018 US GAAP Taxonomy that will include these tags. This will require you, however, to migrate to this version of the 2018 taxonomy to apply them. You could also migrate directly to the 2019 US GAAP Taxonomy too, instead. Either way though, it looks like a migration would be needed to tag the cover page items. You can stay tuned here for further for more info regarding the recent SEC/EDGAR updates too.

I'm very interested in hearing more about the best practices in complying with the new DEI requirements. We typically don't migrate taxonomies more than once in a year and we just did the 2018 taxonomy this year. Will we just extend our tags in the 2018 taxonomy? Is that considered compliant?0

Correct, even if you are already in the 2018 (or 2019) taxonomy, you'll need to migrate to the new, updated version to be able to apply any cover page tagging. This migration would only be needed, however, if you are a) required to file with iXBRL due to being a large accelerated filer, or b) you are voluntarily filing with iXBRL.
Regarding when this will be available, our Product Team is working diligently to incorporate the recent EDGAR updates into Wdesk for both the 2018 US GAAP and 2019 US GAAP. As you might imagine, there are quite a few to cover. We anticipate having this available for use in Wdesk by the end of June. We'll certainly keep you updated on this post going forward and in our What's New category.

I understand that the cover page tagging for Form 8-K's is not required until after the Form 10-Q filing for Q2 for large accelerated filers, concurrent with the requirement to adopt ixbrl. We, however, adopted ixbrl last quarter prior to the mandate for large accelerated filers. It doesn't appear that 6-K's are within the scope of cover page tagging:

Wanted to follow-up with some new guidance on the latest FAST Act amendments, specifically the 2019 DEI Taxonomy that includes new elements to tag cover page facts.
As you are probably aware, on June 10th, the SEC pushed out a new EDGAR release, which includes a number of new DEI elements required for Cover Page Data. These changes included both a new 2018 US GAAP and 2019 US GAAP Taxonomies to incorporate the new 2019 DEI Taxonomy.
What this means for you?
Anyone filing with iXBRL, whether voluntarily as an early adopter or by requirement (i.e. you're a Large Accelerated Filer) must tag these new cover page elements on forms 10-Q, 10-K, 8-K, and 20-F and 40-F as annual reports. This includes amendments, transitional filings, and 8-K form variants.
This means that in order to apply the tagging elements in the 2019 DEI Taxonomy, you'll need to migrate to either the new version of the 2018 US GAAP or 2019 US GAAP Taxonomies.
When does tagging apply to 8-Ks?
The new cover page tagging requirement does impact all 8-K filings, but only after you file your first 10-Q with iXBRL. Again, that means that whether you are required to filing with iXBRL or voluntarily filing with iXBRL, you'd need to now tag the cover page of any 8-Ks submitted after the 6/15 phase-in requirement date.
When will this be available in Wdesk?
Workiva is working as fast as possible to ensure our customers have the ability to comply with the new requirement. Our development team is expected to enable the new DEI taxonomy by the end of June. I'll keep you updated here and on our What's New category as soon as its available so you can start your migrations.
In addition, we'll also be providing some tagging guidance specifically for the new cover page items as well as some examples to look at, so stay tuned here for further info.

I would usually migrate to the new (ie 2019) taxonomy after Q2, but I'm wondering if I need to migrate first to the revised 2018. Also, to follow on what has been said above, our company name is conformed to Ltd on EDGAR rather than Limited - this falls foul of the requirement to declare on the cover page that the company name is exact but I'm not sure how we can change it.

Let me see if I can tackle these questions. Here goes...
Currently, our interpretation of this comes mostly from EFM Vol. 2, Sec. 6.5.45, which statesFor most submission types, an Inline XBRL document set will have "cover page" facts that should be not appear exclusively in an ix:hidden section if they are not null.
We tend to understand to mean you are required tag items on your cover page for from types 10-Q, 10-K, 8-K, 20-F and 40-F when you submit with iXBRL tagging data. Does that make sense?
For Form 8-Ks, you'd only be required to supply cover page tagging on those 8-Ks that require XBRL to be included, and the 8-K is tagged using iXBRL. So not all the 8-Ks you will file will need, but some will.
Hopefully that makes sense. We should have some more definitive information on what needs tagged and how to tag it available here soon, but in the meantime do let me know if you have any questions, or need anything else. We are a voluntary iXBRL filer who is also an Accelerated filer. My understanding is that being a voluntary filer does not impact when we have to tag our cover pages. Since we are an Accelerated filer we don't need to tag until 6/15/20...correct? 0No problem, Herb!
So far its our interpretation is that if you voluntarily file with iXBRL, then the cover page facts should also be included, regardless of your filer status. In that case, it would be upon your next filing of the above mentioned form types that also has iXBRL included.0Hi Mike. We are a large accelerated filer who voluntary filed our Q1 2019 10-Q using ixbrl. I would like to confirm that it is your belief we wouldn't be required to file any 8-Ks using ixbrl until after we file our Q2 2019 10-Q (with a fiscal period ending 6/30/2019). 0Yep, you are correct Marlisa. Your Form 8-Ks will become subject to the cover page tagging requirements after your first10-Q for a fiscal period ending on or after June 15, 2019, is filed. So roughly speaking, sometime in August would be the first time you'd be required to tag your 8-K cover page. 0Hi Barbara!
Currently the updated DEI information is not yet there in Wdesk, so there's nothing labeled per se. We're working on updating the existing taxonomies so that you can migrate to them and use the new DEI tagging elements. We anticipate having this ready for your by the end of the month, if not very early July. Stay tuned here and to our What's New category for when this is available.

In other words, for an accelerated filer that voluntarily filed iXBRL at 3/31/19, you do not have to comply with the cover page filing requirements until 6/15/20. 0We successfully migrated 2019 DEI taxonomy into our Q. I tried to tag "Document Quarterly Report" on cover page by check-marking the box (since it's boolean type), but i got a validation error says "Fact value does not match the data type."

If I understand your issue correctly, I believe I have a solution for you.
In your case, you will need to download and import this template found within the following Help article: https://success.workiva.com/help/xbrl-for-sec/ixbrl/tagging-cover-page. Next, copy/paste the appropriate check boxes from the imported file into your document in order for the tagging to read it correctly.

That template is the sample project I was referring to. I copied those check boxes and put them in to my document but the XBRL box still shows up as red and I get the same validation error. It also shows up as an error on the template project actually (well, everything shows up as an error since the dates are not filled in but if you put in the dates in all of the tags, the errors clear up on most tags except the check boxes). 0Hi all!
I wanted to provide another quick update for you. If you haven't seen, a recent release to Wdesk made available the update 2018 and 2019 US GAAP taxonomies, which includes the new 2019 DEI tagging elements. These can now be migrated to for tagging your cover page.

Note that the template is a classic Wdesk Document and contains tagging data currently based on a 12/31 FYE, with XBRL dates built out accordingly. If you are an off-calendar filer you may run into issues when importing, but we'll have another template available next week.
