Thanks Joanne, in practice, I have seen three different dates based on company filings that I have researched. Some companies use the financial reporting date (for example, December 31, 2015), some companies use the date the proxy was filed and some companies use the date of the annual shareholders' meeting/proxy vote date. I'm not sure which is correct based on my research. 0Considering the variety of dates being used out there its easy to see why this is confusing for many proxy filers. That being said though, the correct period of report date on a proxy generally should be the date of the annual shareholders' meeting, which is usually listed on the cover or first page of the proxy statement.
Its difficult to track this down as the SEC only offers this article on the proxy statement and that links only to the Electronic Code of Federal Regulations, which as you expect is a rather dry read. However, this tid-bit is hidden in the Edgar Filing Manual, Vol. II, Section 7.3.3.2, Field Values and Definitions. In Table 7-1, which lists all the fields available in Edgar for all submissions type and their definition, for the field 'Period' it displays the following:
There are certain other stipulations that can affect proxy filings but generally speaking for most filers the annual meeting date is the right choice for period of report when filing your proxy statement.
