Hyperlink to Edgar filing in Non-exhibit index sections
BeantwoordOne of the new requirements of the FAST Act is that we will need to hyperlink references to other documents on EDGAR. Since we have references to certain sections of the 2018 10-K within our current 10-Q, I was trying to add these hyperlinks in our 2019 Q1 10-Q (similar to what we did for the exhibit index in the past) but for some reasons the hyperlinks that I created don’t take me to the 2018 10-K report on sec.gov. Can you please advise me on what I should do?

Wanted to let folks know, the need to remove the "s" from the URL is no longer needed. Better late than never by the SEC and at the very least it has saved those few extra clicks 😜.
Have you made sure to remove the "s" when you are linking to sec.gov in the address? So it should be http://XXXX.sec.gov vs. https://XXXX.sec.gov. 0Yes, I did but it's still not working. 0Hi Anna,
Thanks for reaching out here on The Community. I would be happy to talk to you about creating references and hyperlinks for your 10-Q filing in order to comply with EDGAR guidelines. Am I understanding you correctly that you are trying to hyperlink to something that has been edgarized? So I am going to assume what you did in this process is to run step one under the filing tab in order to generate the necessary EDGAR documents. From this point, when you head into the document, you would want to highlight the text that you are wanting to hyperlink, right click on it, and then select "Insert Hyperlink". From this point, there is an exhibit drop-down where you can choose the exhibit that you want to be hyperlinked (I am providing an image below to illustrate this!) An alternative option would be to hyperlink to a URL, such as a "http://" from the SEC website. When doing this, you are going to go through the same steps of highlighting the text, right click, "Insert Hyperlink," and then you will paste the URL in the area I've highlighted in the image. Be sure to remove the "s" if one appears after "http." When testing out hyperlinks, you will need to run a preview, then when you click the text that has been hyperlinked from the preview, it will take you to the proper exhibit. Don't forget to share your changes before running the preview!

There are sections within our current 10-Q that stated "additional details are included in Annual Report on Form 10-K." So I am trying to insert a hyperlink on "Annual Report on Form 10-K" by copying our previous 10-K URL from the SEC website (see screenshot below). But when I try to test the hyperlink in Preview Edgar, the hyperlink is not taking me to the URL that I inserted.0Thank you so much for providing the additional info. Due to iXBRL tagging, we had to get a more "basic" view to copy the HTML file and paste it in the "Insert Hyperlink" area that Anna and I discussed. In order to do this, we selected the "Menu" at the upper left hand corner, Open as HTML, and copied the HTML that was then provided. This then allowed Anna to successfully view the appropriate hyperlink from a preview!

Our external legal counsel has sent us guidance stating that the Financials can not contain any incorporation by reference to external reports (including the 10-K) unless allowed by GAAP and we are now researching what is allowed. 0Hi Shandi, we have references to the 10-K throughout our 10-Q in both MD&A and footnotes. To answer your question, no, that check box should only be used for the actual exhibit index and not for any other section of your document. The reason is because that check box acts as the trigger for Wdesk to create the hyperlinks in the way that the SEC requires. While checking this box on other sections wouldn't specifically cause a filing to be suspended, it might confuse the SEC’s processing tools a bit.
Lastly, FWIW, in new draft of the EFM, there's not currently anything about hyperlinks to incorporated by reference hyperlinks. But as always, we suggest consulting with your legal team.

Do you mean not having to go through the steps listed above? I'm not confident I have a great answer for this one! What I do know is, the steps listed above will help you grab a URL that will allow for hyperlinking. The iXBRL URL, that would be copied directly, contains the iXBRL overlay-- which we do not have the ability to hyperlink to. Does this make sense? Perhaps in the future there will be a more streamlined process, but right now it requires a few extra clicks.0
