Reporting 401k Shares
AnsweredCurious what steps i am doing incorrectly in my Form 4 processing, and looking for some help. I have a Form that i want to add a holding of a RP's 401k Holding, but i need to add a minimal amount of shares to their holding balance. I tried to edit the holding balance after adding it to the Form, but i am not able to do so. I clicked the menu arrow on the right of the holding, and selected Edit Holding. (i) is that the correct method to modify a holding balance to report a minimal share acquisition? (ii) if yes, is there a reason i may not be having the edit holding window open (i.e. my browser, etc.).?

Happy to share my thoughts on the following!
Is "Edit Holding" from the menu arrow the correct method?Partially — it depends on what you're trying to do. For a 401(k) holding where you want to report the holding balance (not a transaction), the recommended approach is:1. Remove the 401(k) holding as a transaction from the form
2. Add it back using the "Report Holding Balance" option insteadThis is the correct way to report a holding balance on a Form 4 without filling out transaction-specific fields (transaction code, transaction date, etc.). Using Report Holding Balance means you only disclose the balance — no extra fields required.As a note, edits made to a holding that is already on the form will not transfer to the form. You must:
1. Remove the holding from the form first
2. Edit the holding on the Reporting Owner's page
3. Then add it back to the form
Why can't you get the "Edit Holding" window to open?
I have two thoughts in mind here depending on what your seeing.If you are getting the following message - "You cannot edit a holding with unfiled transactions" - this happens because everything in Section 16 is live. You cannot edit a holding while it has unfiled transactions attached. To resolve:1. Zero out and delete the transaction (or remove the holding from the form)
2. Then edit the holding on the Reporting Owner's page directly If the Edit Holding button appears but is unclickable, try using the dropdown arrow on the holding row (not within the form) and selecting Edit Holding from there. If the window still won't open, try refreshing the browser, clearing cache, or starting a new session.Please sign in to leave a comment.
