Wanted to let folks know, the need to remove the "s" from the URL is no longer needed. Better late than never by the SEC and at the very least it has saved those few extra clicks 😜.

Have you made sure to remove the "s" when you are linking to sec.gov in the address? So it should be http://XXXX.sec.gov vs. https://XXXX.sec.gov.

    Hi Anna,

Thanks for reaching out here on The Community.  I would be happy to talk to you about creating references and hyperlinks for your 10-Q filing in order to comply with EDGAR guidelines.  Am I understanding you correctly that you are trying to hyperlink to something that has been edgarized?  So I am going to assume what you did in this process is to run step one under the filing tab in order to generate the necessary EDGAR documents.  From this point, when you head into the document, you would want to highlight the text that you are wanting to hyperlink, right click on it, and then select "Insert Hyperlink".  From this point, there is an exhibit drop-down where you can choose the exhibit that you want to be hyperlinked (I am providing an image below to illustrate this!)  An alternative option would be to hyperlink to a URL, such as a "http://" from the SEC website.  When doing this, you are going to go through the same steps of highlighting the text, right click, "Insert Hyperlink," and then you will paste the URL in the area I've highlighted in the image.  Be sure to remove the "s" if one appears after "http."  When testing out hyperlinks, you will need to run a preview, then when you click the text that has been hyperlinked from the preview, it will take you to the proper exhibit.  Don't forget to share your changes before running the preview!

Please let me know if this solved your issue, or what further clarification I can provide :)

    Hi Jenna,

I am trying to hyperlink to a URL from the SEC website. We have references to the previous 10-K filed with the SEC within our current 10-Q report, I am trying to hyperlink those references to the 10-K report on the SEC website, but for some reasons the hyperlinks that I created don't take me to the SEC website. These references are not in the Exhibit Index section, they are used through the various sections within our current 10-Q report. I have already removed the 's' before the http but it is still not working properly.

    Anna,

Would you mind walking me through this process?  Are you copying the URL from the SEC site, and then pasting it into "Insert Hyperlink" area for a URL?  Where is the hyperlink taking you at this time?

    Hi Jenna,

There are sections within our current 10-Q that stated "additional details are included in Annual Report on Form 10-K." So I am trying to insert a hyperlink on "Annual Report on Form 10-K" by copying our previous 10-K URL from the SEC website (see screenshot below). But when I try to test the hyperlink in Preview Edgar, the hyperlink is not taking me to the URL that I inserted.

Thank you so much for providing the additional info.  When you have a chance, please give our Support Team a call at 800-706-6526 ; they will be able to set up a screen-share with you and watch this process live and see what could be going wrong.  This is for sure a feature that is achievable, let's address how to get this issue solved!

Just to update everyone here on how the Support Team addressed Anna's issue...
Due to iXBRL tagging, we had to get a more "basic" view to copy the HTML file and paste it in the "Insert Hyperlink" area that Anna and I discussed.  In order to do this, we selected the "Menu" at the upper left hand corner, Open as HTML, and copied the HTML that was then provided.  This then allowed Anna to successfully view the appropriate hyperlink from a preview!

Anna, we appreciate your patience & thanks for teaching us something new today!

@Anna - I am curious to know if your references to the 10-K are all in MD&A or if you have any in your Footnotes.  Our external legal counsel has sent us guidance stating that the Financials can not contain any incorporation by reference to external reports (including the 10-K) unless allowed by GAAP and we are now researching what is allowed.

Hi Shandi, we have references to the 10-K throughout our 10-Q in both MD&A and footnotes. Would you mind to tell me which guidance your legal counsel is referring to?

    § 240.12b-23 Incorporation by reference.

    (a) Registration statement or report. Except as provided by this section or in the appropriate form, information may be incorporated by reference in answer, or partial answer, to any item of a registration statement or report.

    (b) Financial information. Except as provided in the Commission’s rules, financial information required to be given in comparative form for two or more fiscal years or periods must not be incorporated by reference unless the information incorporated by reference includes the entire period for which the comparative data is given. In the financial statements, incorporating by reference, or cross-referencing to, information outside of the financial statements is not permitted unless otherwise specifically permitted or required by the Commission’s rules or by U.S. Generally Accepted Accounting Principles or International Financial Reporting Standards as issued by the International Accounting Standards Board, whichever is applicable.

Interesting...We have been referencing to our K for a while now, and we see our peers have been doing that as well, I wonder if it's allowed by GAAP or SEC rules. We will have to look into that. Thanks for the guidance!

Hi Shandi, you were right, cross-references are not permitted in the footnotes based on the SEC rule and is emphasized in the new FAST Act, but we are still not sure what is permitted under GAAP. Again, thanks for bringing that to my attention!

We are still in the process or researching what is permitted under GAAP as well.  Glad to be able to help!

Will we need to check the box for 'Section contains an EDGAR exhibit index' for any section that will contain hyperlinks to documents incorporated by reference (even if outside of the actual exhibit index)?

    Hi Kyle,

To answer your question, no, that check box should only be used for the actual exhibit index and not for any other section of your document. The reason is because that check box acts as the trigger for Wdesk to create the hyperlinks in the way that the SEC requires. While checking this box on other sections wouldn't specifically cause a filing to be suspended, it might confuse the SEC’s processing tools a bit.

Lastly, FWIW, in new draft of the EFM, there's not currently anything about hyperlinks to incorporated by reference hyperlinks. But as always, we suggest consulting with your legal team.

Hope that helps answer your question. Let me know what other questions you might have, or if you need any further clarification. Thanks, and happy hyperlinking!

I'm curious if the need to copy the non-iXBRL URL will ever be fixed between Workiva and Edgar?

  • Jenna Carpenter
    Trisha,

Do you mean not having to go through the steps listed above?  I'm not confident I have a great answer for this one!  What I do know is, the steps listed above will help you grab a URL that will allow for hyperlinking.  The iXBRL URL, that would be copied directly, contains the iXBRL overlay-- which we do not have the ability to hyperlink to.  Does this make sense?  Perhaps in the future there will be a more streamlined process, but right now it requires a few extra clicks.

Yes, that's what I meant. We were having this same issue and I followed your steps to get it to work. Thank you! Seems like everything with Wdesk lately is requiring "a few extra clicks."
