When filing an 8-K, you see a warning and iXBRL error if the Period of Report date is set to the next business day before the allowed submission time.
The warning says:
Period of Report: The next business day is only valid if filing after 5:31 PM EST for next business day posting.
You also see an iXBRL error similar to:
DocumentPeriodEndDate cannot be a future date in iXBRL Form Type. See Section 6.5.20 of the EDGAR Filing Manual for further details.
About the warning and error
This happens when both of the following are set to the next business day:
- The Period of Report in the Form Information step
- The tagged DocumentPeriodEndDate in the 8-K
Before 5:31 PM EST, the next business day is considered a future date for the filing. Because of this, Workiva displays a filing warning and iXBRL error.
Resolve the warning and error
If the next business day is the correct report date, wait until after 5:31 PM EST on the current business day.
After that time:
- Return to the filing.
- Confirm the Period of Report in the Form Information step is correct.
- Confirm the tagged DocumentPeriodEndDate in the 8-K matches the report date.
- Run filing checks again.
The warning and iXBRL error no longer appear if the next business day is valid for posting.
Things to know
- The Period of Report and tagged DocumentPeriodEndDate must match.
- This issue applies when the selected report date is the next business day.
- If the filing is checked before 5:31 PM EST, the next business day is treated as a future date.
- If the error continues after 5:31 PM EST, review the tagged date and filing form information for mismatches.
